Thank you for your interest in 「CAPCOM TOWN STORE」(operated by KOMODO). Please read these Terms of Service carefully, as your usage of 「CAPCOM TOWN STORE」 and the preordering or purchasing of products via 「CAPCOM TOWN STORE」 constitutes your agreement to the Terms of Service. We reserve the right to change the Terms of Service as needed and without prior notification, so please refer to the latest version when visiting this site.

1. General Provisions

These Terms of Service apply to the 「CAPCOM TOWN STORE」 online store (hereinafter “the Online Store”) operated by Komodo Co., Ltd. (hereinafter “the Merchant”), in collaboration with CAPCOM Co., Ltd., which serves as the provider of the content offered through the Online Store (hereinafter “the Content Provider”) and applies to any and all relationships between Members, the Merchant and the Content Provider when using the Online Store.

2. Definition

  • “the Merchant” means KOMODO Co., Ltd., the company that operates the Online Store and acts as the seller to the Purchasers.
  • “the Content Provider” means CAPCOM Co., Ltd., the rights holder and/or provider of the digital content made available on the Online Store, including games, downloadable content, and related materials.
  • “the Products” means digital products sold through the Online Store, including but not limited to content keys, digital codes, and license keys.
  • “the Member” means any individual who has registered as a member of the Online Store in accordance with the prescribed registration procedures, or who has reserved or purchased the Products through the Online Store.
  • “the Purchaser” means any user who has purchased the Products through the Online Store.
  • “CAPCOM ID” means the ID platform issued and managed by the Content Provider that is required in order to make purchases through the Online Store.
  • “the External Platforms” means third-party services, such as Steam and/or GOG, through which purchased the Products are redeemed and/or authenticated.

3. Positioning of the Parties

  • The Merchant acts as the seller of the Products offered through the Online Store and is the contracting party to the sales agreement with the Purchaser.
    The Content Provider holds the intellectual property rights and other related rights in the Products and may be involved in the presentation and display of the Products on the Online Store as the provider of such content. However, the Merchant is the sole contracting party to the sales agreement with the Purchaser, and all charges to the Purchaser are made by the Merchant. (Please note that the description appearing on payment statements may vary depending on the payment method used.) 
  • CAPCOM ID and its authentication and identity management system are owned, maintained, and the sole responsibility of Content Provider. 
  • The Purchasers are required to redeem and/or use digital Products in accordance with the account requirements, Terms of Service, regional restrictions, and other conditions imposed by the relevant External Platforms. The terms and conditions of such the External Platforms are outside the control of the Merchant, and the Merchant does not warrant or guarantee any such conditions.

4. Scope of Terms and Modifications

  • These Terms of Service shall apply to both the Merchant, the Members and the Purchaser with respect to the use of the Online Store. By registering as the Member or by preordering or purchasing the Products via the Online Store, the Member agrees to and is obliged to comply with the Terms of Service.
  • The Merchant, on occasion, may notify the Members of additional stipulations or post them to the Online Store, and these shall be part of the Terms of Service. In the event of any discrepancies between these Terms of Service and the additional stipulations, the additional stipulations shall take precedence.
  • The Merchant reserves the right to change these Terms of Service without the prior consent of the Members. Changes to the Terms of Service shall be posted to the Online Store or the Members shall otherwise be notified. The Members should always check the Online Store for the latest version of the Terms of Service. Use of the Online Store after any changes to the Terms of Service shall be deemed acceptance of those changes without any objection.

5. User ID and Password Management

  • The Members are responsible for registering and managing their own ID (user name or email) and password when using the Online Store. The Members must carefully manage their registered ID and password, and shall not disclose, transfer, or lend their ID or password to any third parties.
  • The Merchant reserves the right to terminate the registration of any Member that has not used the Online Store for a period of more than one year. In such cases, the Merchant may delete the personal information of such Members that the Merchant has in its possession.
  • The Members are solely responsible for any unauthorized use of their ID and/or password (including in cases where an inquiry is made with the Member ID or password and the Merchant responds), and the Merchant shall not be liable for said use.

6. Account and Authentication (CAPCOM ID)

The Online Store uses CAPCOM ID as its authentication and identity management system. If authentication fails, the purchase process may not be completed, or certain functions of the Online Store may become unavailable.

  • The Purchasers are responsible for properly managing their authentication credentials at their own risk and must not allow any third party to use them.
  • If unauthorized use or suspected misuse is detected, the Merchant may suspend purchases, distribution, redemption, or other related activities and may request additional identity verification from the Purchaser.

7. Modifying Registered Information

  • If the Member’s registered information changes, the Member must immediately follow the procedures set by the Merchant to carry out the changes.
  • The Privacy Policy outlines the Content Provider’s and the Merchant’s handling of Member information obtained during the course of a Member’s use of the Online Store or otherwise obtained as part of registering their account.

8. Product Description and Method of Provision (Digital Keys)

  • The Products sold on the Online Store consist of digital content keys. No physical goods will be shipped or delivered.
  • Digital keys will be provided and displayed through the Purchaser’s purchase history on the Online Store.
  • As a general rule, digital keys will be provided after payment has been successfully completed. However, the provision of keys may be delayed due to inventory verification, fraud detection procedures, system-related issues, or other operational reasons.
  • Once a digital key has been displayed or delivered, it may be usable by a third party. Accordingly, such Products are not eligible for return or refund after disclosure.
    This shall not apply where it can be reasonably confirmed that the digital key is invalid due to reasons attributable to the Merchant or the Content Provider. For the avoidance of doubt, the purchase of a Product constitutes the purchase of a digital content key only.
    Such purchase does not confer ownership of the underlying game or digital content.
    The underlying game is licensed to the Purchaser, and not sold, and its use is subject to the applicable end user license agreement.

9. Legal Notice

For the Terms of Service and other information regarding the Online Store, refer to the “Legal Notice” The contents of the Legal Notice constitute a part of the Terms of Service, and the Merchant and Members shall comply with its stipulations.

10. Pricing, Currency, and Taxes

  • Prices displayed on the Online Store are shown inclusive of applicable taxes. Please note that the method of price display may vary depending on the Purchaser’s region.
  • Applicable taxes (including, without limitation, consumption tax) may be calculated and collected based on factors such as the Purchaser’s location, billing address, IP address, or other relevant information, in accordance with applicable laws and regulations.
  • Exchange rates are determined by the payment service provider or card issuer and may differ from the rates displayed by the Merchant. In addition, the card issuer or payment provider may apply foreign exchange fees or other charges, which may appear separately on the Purchaser’s billing statement.

11. Payment Methods

The payment methods available on the Online Store will be displayed on the Online Store. Payment processing is conducted by third-party payment service providers, and the Purchaser agrees to comply with the terms and conditions of such payment service providers in addition to these Terms.

12. Cancellations, Returns, and Refunds (Special Provisions for Digital Products)

Due to the nature of digital products, cancellations, returns, exchanges, or refunds are not permitted after purchase.

  • Notwithstanding the foregoing, a cancellation may exceptionally be permitted only if (i) it can be objectively confirmed that the digital key has not been displayed or delivered, and (ii) the Purchaser complies with the procedures prescribed by the Seller.
  • Where a digital key is invalid due to reasons attributable to the Seller, and such invalidity can be reasonably verified through appropriate procedures, the Merchant or the Content Provider may, at their discretion, provide a replacement key or other appropriate remedy.
  • Inability to redeem or use a digital product due to changes in specifications, system failures, account suspension, or other issues arising on the part of the External Platforms shall not be deemed attributable to the Merchant or the Content Provider.

13. Prohibited Conduct

The following acts are strictly prohibited when using the Online Store:

  • Fraudulent acquisition (including, without limitation, use of stolen or unauthorized payment methods), purchases for the purpose of resale, bulk purchases using bots or automated means, unauthorized sharing or public disclosure of digital keys, or any unauthorized access to or interference with the systems.
  • Use of digital keys in any manner that violates the terms, policies, or rules of the External Platforms.
  • Any act that violates applicable laws or regulations, or is contrary to public order or morals.
  • Use of the Online Store by minors.

14. Fraud Prevention Measures (Order Review and Suspension)

  • Where the Merchant or the Content Provider reasonably suspects fraudulent use or a violation of these Terms, they may take measures including, without limitation, cancellation of purchases, suspension of key delivery, restriction or suspension of account usage, and requests for additional verification (including identity verification).
  • To the extent reasonably necessary, the Merchant may share relevant information with payment service providers, the External Platforms, the Content Provider, and other relevant parties for the purposes of fraud prevention, investigation, and compliance with applicable laws and regulations.

15. Provision of Information

The Merchant shall provide each Member with information about their preorders and purchases, as well as important notices from the Merchant or this site, and Members shall agree to receive such provisions of information.

16. Member Obligations

Members are prohibited from engaging in the following activities when using the Online Store.

  • Acts that infringe or may infringe on the copyright or other rights of other Members, third parties, the Content Provider or the Merchant.
  • Acts that infringe or may infringe on the property of privacy of other Members, third parties, the Content Provider or the Merchant.
  • Acts that cause or may cause disadvantage or damage to other Members, third parties, the Content Provider or the Merchant.
  • Acts that hinder or slander the operation of the Online Store.
  • Acts that infringe or may infringe on public order and standards of decency, or provide information that is offensive to other Members or third parties.
  • Acts that are criminal, tied to criminal behavior, or may lead to these occurring.
  • Commercial activity through or in connection with the Online Store without prior consent from the Merchant, or other acts in preparation for such activity.
  • Falsifying or false registration of email addresses, passwords, or other associated personal information.
  • Acts that slander other Members, third parties, the Content Provider or the Merchant.
  • Acts that violate or may violate laws and regulations.
  • Any other illegal or inappropriate use of the Online Store.

If the Merchant, the Content Provider or a third party incurs damage due to Member conduct that falls under any of the above clauses, the Member shall compensate for such damage. Furthermore, even if the Member is stripped of membership, they shall remain liable for all acts prescribed in the above clauses regarding the Online Store and shall not cause further trouble for the Merchant and the Content Provider.

17. Suspension of Online Store Usage, Etc.

The Merchant will temporarily suspend use of the Online Store for Members who fall into any of the following categories, and the Merchant reserves the right to cancel their membership registration and deny them further use of the Online Store.

  • Members that violate any of the “Member Obligations” clauses listed above.
  • Any other actions that violate these Terms of Service.

18. Discontinuation and Suspension of Service

The Merchant may, at its sole discretion, suspend all or part of the Online Store without giving prior notice to Members in the event of natural disasters, other emergencies or threats of emergencies, failure of telecommunication infrastructure installed by the Merchant, or other unavoidable reasons. The Merchant shall not be liable for any damages incurred by Members due to the discontinuation of the Online Store.

19. Disclaimer of Liability

The Merchant does not guarantee the completeness, accuracy, certainty, or usefulness of the contents of the Online Store or any information obtained by Members through the Online Store. The provision, delay, modification, interruption, suspension, or discontinuation of the Online Store shall be made at the sole discretion of the Merchant, and the Merchant shall not be held liable to Members for any such decisions. In the event that the Merchant is obligated to compensate Members for damages incurred due to the loss of information registered or provided through the Online Store, or other damages incurred in connection with the Online Store, the amount of such damages shall be limited to the total cost of the products and/or services purchased by Members through the Online Store.

20. Intellectual Property Rights/License Grant

All copyrights, trademarks, and other intellectual property rights relating to the Online Store and the Products shall belong to the Merchant, the Content Provider, or other respective rights holders.
The Purchaser does not acquire any intellectual property rights in or to the Products by purchasing a digital key. The purchase of a key grants only the right to use or redeem the Product in accordance with the applicable terms and conditions.

Subject to compliance by the Purchaser with the applicable end user license agreement and the terms and conditions of the relevant third party platform to which the Game is connected by network (such as Steam or GOG), the Content Provider grants the Purchaser a non-exclusive, non-commercial, non-transferable, revocable, personal license, without the right to sublicense, to install and use the Game on its intended platform. Limitations. The Purchaser shall not, directly or indirectly, (i) reproduce the Game; (ii) sell, lease, license, distribute, market or otherwise commercialize the Game or any of its parts; (iii) reverse engineer, decompile, disassemble, adapt, or create derivative works of the Game; (iv) remove, alter, disable or circumvent any copyright and trademark notices or other authorship and origin information contained in or on the Game; or (v) transmit, introduce, or otherwise make available any virus, trojan horse, worm, bomb, corrupted file, or other malicious or harmful code in connection with the Game; Reservation. The Game is licensed, and not sold, to the Purchaser. This Agreement confers no title or ownership in the Game. All rights not expressly granted are reserved by the Content Provider.

21. Service Area, Governing Law, and Jurisdiction

The Online Store is intended for use by purchasers residing in the United States of America.

Except as otherwise required by applicable mandatory law, these Terms shall be governed by and construed
in accordance with the laws of the State of California, U.S.A., without regard to conflict of laws principles.

Any dispute arising out of or in connection with these Terms or the Online Store shall be subject to the
exclusive jurisdiction of the state or federal courts located in the State of California.

Notwithstanding the foregoing, nothing in this Article is intended to limit or exclude the application of
mandatory consumer protection statutes or rights that may apply under U.S. federal law or the laws of
any state in which the Purchaser resides.

  • For the purpose of responding to inquiries and providing customer support, the Merchant may record and retain email correspondence, call records, and other communications exchanged between the Merchant and Members.
